These terms govern your use of XivoERP. They form a contract between your organization and RapidGoo FZC. Please read them before you start a trial.

XivoERP is provided by RapidGoo FZC (“RapidGoo”, “we”, “us”), a free zone company registered in the United Arab Emirates. In these terms, “you” means the organization that creates an XivoERP account, and anyone you invite to use it.
XivoERP is a business product. It is offered to organizations and to people acting for an organization, not to consumers. By creating an account you confirm you are authorised to accept these terms for your organization.
XivoERP is a cloud accounting and enterprise resource planning system. It provides a double-entry general ledger together with sales, purchasing, inventory, banking, projects and reporting, depending on the package you choose. Which modules your package includes is set out in the Offer details.
We may add, change or remove features. If we remove something you rely on, or make a change that materially reduces the service, we will tell the account owner by email before it takes effect where we reasonably can.
You must give accurate information when you register and keep it up to date. You are responsible for everything done under your account, including by the people you invite.
Keep credentials secret. Each person who uses XivoERP must have their own login — shared logins break the audit trail, which is the point of an accounting system. Tell us promptly if you believe an account has been compromised.
The person who creates an organization is its owner and has full access, including the ability to invite others, set which modules each person may use, and manage billing.
You keep all rights in the data you and your people enter — your customers, suppliers, items, documents, ledgers and reports (“your data”). We do not own it and we do not sell it.
You grant us only the permission we need to run the service for you: to store, process, transmit, back up and display your data, and to have our infrastructure providers do the same on our behalf. How we handle personal data is described in the Privacy notice.
You are responsible for your data being lawful, and for having the right to put it into XivoERP — including personal data about your own customers, suppliers and staff.
Some packages let you invite your own customers to interact with XivoERP without an account: rating and commenting on work you did for them, and uploading documents you asked them for, through secure links that you share. Because those people are not users of XivoERP, some extra responsibilities sit with you:

Pricing, what counts as a billable user, billing terms, the free trial, invoices, renewal and cancellation are all set out in the Offer details, which forms part of these terms.
In short: XivoERP is charged per active user per month, in US dollars, on the package you choose. The first 14 days are free and no card is required. You are billed for the users who are active on your account.
We work to keep XivoERP available and to fix faults promptly, but we do not currently offer a contractual uptime guarantee or service level agreement. The service may be unavailable during maintenance, or because of faults in infrastructure we depend on.

This matters more here than in most software. XivoERP records and reports what you enter. It is not accounting, tax, audit or legal advice, and it does not replace a qualified accountant or tax adviser.
You remain responsible for the accuracy of your books, for choosing the right accounting treatment, for the correctness of tax codes and rates you configure, and for meeting your own filing and record-keeping obligations in every country where you trade. Tax rules differ by jurisdiction and change; features such as VAT or GST handling are tools you configure, not a guarantee of compliance.
Check your figures before you file anything or rely on them for a decision.
We take reasonable technical and organisational measures to protect the service and your data. What we actually do — password hashing, encryption in transit, tenant isolation, session handling, backups — is described in the Privacy notice, including its limits.
No online service is perfectly secure, and we do not claim otherwise. You are responsible for your side: strong, unique passwords, removing people who leave, and granting each person only the modules they need.
We may suspend access to an account where a subscription is unpaid after its paid period ends, where we reasonably believe the account is being used unlawfully or in breach of clause 5, or where continued use threatens the security or stability of the service for others.
Except where the law or an urgent security risk prevents it, we will tell the account owner before suspending and, where the issue can be fixed, give a reasonable chance to fix it. Suspension does not delete your data.
You may stop using XivoERP at any time. Cancelling before the end of a paid period prevents the next renewal; it does not create a refund of the period already paid, which is explained in the Offer details.
Export your data before you leave. XivoERP lets you export reports and document listings to CSV, and to print documents as PDFs, at any time while you have access. Do this while your account is still open — once access ends, you would have to ask us to retrieve it.
If you want your data deleted, email us and we will delete it, subject to any records we must keep by law (for example, invoices we have issued to you). There is no self-service “delete my organization” button in the product today; deletion is handled by request.
Each of us may learn confidential information about the other. We will not disclose yours except to our staff and providers who need it to run the service, or where the law requires it. This does not apply to information that is already public, or that the receiving party developed independently.
We provide XivoERP with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided “as is” and we exclude implied warranties, including that it will be uninterrupted, error-free, or fit for a particular purpose.
Neither of us is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings. Our total liability to you in any twelve month period is limited to the fees you paid us for XivoERP in that period.
Nothing in these terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
We may update these terms. If a change materially affects your rights, we will give the account owner at least 30 days’ notice by email before it applies. Continuing to use XivoERP after that means you accept the updated terms. The date at the top of this page shows when it was last changed.
These terms are governed by the laws of the United Arab Emirates, and the courts of the UAE have exclusive jurisdiction. If any clause is unenforceable, the rest continues to apply.
